1. Acceptance of These Terms

By accessing or using Emersus AI, you agree to these Terms of Service, our Privacy Policy, and, where applicable, our Consumer Health Data Privacy Policy. If you do not agree, do not use the Services.

These Terms apply to the Emersus website, authentication flows, chat experience, workout and nutrition tools, progress views, and related services we make available.

2. Eligibility and Accounts

You must be at least 13 years old and able to form a binding agreement under applicable law to use Emersus. If you are under the age of majority where you live, you may use Emersus only with permission from a parent or legal guardian.

If you create an account, you agree to provide accurate information and keep your login credentials secure. If we reasonably believe an account belongs to a child under 13, we may suspend or terminate the account and delete related information as permitted or required by law.

You are responsible for activity that occurs under your account. If you suspect unauthorized access, notify us promptly.

3. What the Service Does

Emersus is software for research-backed fitness, nutrition, and performance support. It may help you ask questions, review scientific evidence, create or update workout and meal plans, log training and nutrition activity, track progress, and manage related profile settings.

We may add, remove, pause, or change features at any time, including as part of beta testing, safety work, product evolution, or infrastructure changes.

4. Wellness and Informational Use Only

Emersus is for informational and wellness purposes only. It is not medical advice, diagnosis, or treatment, and it does not create a doctor-patient, therapist-patient, dietitian-client, or similar professional relationship.

Do not rely on Emersus for emergencies or for decisions that should be made by a qualified healthcare professional. If you have pain, injury, illness, disordered eating concerns, unusual symptoms, or any emergency, stop using the product for that purpose and seek professional care immediately.

Exercise, dieting, supplementation, and performance training involve risk. You are solely responsible for deciding whether any workout, nutrition change, supplement, recovery protocol, or other recommendation is appropriate for you.

5. AI Output and Citations

Emersus uses AI and retrieval systems to generate responses. AI output may be inaccurate, incomplete, misleading, or not suited to your situation. Citations, summaries, confidence signals, or scientific language do not guarantee correctness or safety.

You are responsible for reviewing outputs critically and using independent judgment before acting on them. Emersus may refuse certain prompts, limit functionality, or interrupt a response when our safety systems determine that doing so is appropriate.

6. Your Content

You may provide prompts, profile information, workout logs, meal logs, support messages, and other content through the Services ("Your Content"). You retain ownership of Your Content, but you give Emersus a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, analyze, display, and otherwise use Your Content as needed to operate, secure, and improve the Services.

You represent that you have the rights needed to provide Your Content and that it does not violate law or the rights of others.

7. Acceptable Use

You agree not to:

• use Emersus in violation of law or the rights of others;
• attempt to gain unauthorized access to accounts, systems, models, prompts, or data;
• interfere with the availability, performance, or security of the Services;
• submit malicious code, automated abuse, scraping intended to harm the product, or prompt-injection attempts intended to bypass our protections;
• use Emersus to generate unsafe instructions, impersonate others, or facilitate fraud, abuse, harassment, or harm; or
• copy, reverse engineer, or use the Services to build a competing model or service except where non-waivable law prohibits restricting that activity.

8. User-Directed Sharing

If you choose to publish or share a workout card, route card, or similar asset, you are responsible for the information included in that share. Review the content carefully before making it public.

9. Paid Features

Some Emersus features may be offered for free during beta, and some may later require payment. If we introduce paid plans, purchases will be governed by the pricing, billing, renewal, and cancellation terms presented to you at checkout or in the applicable order flow.

10. Suspension and Termination

We may suspend, restrict, or terminate your access if we believe you violated these Terms, created security or legal risk, abused the Services, or used Emersus in a way that could harm other users, vendors, or the platform.

You may stop using Emersus at any time. Some provisions of these Terms, by their nature, survive termination, including intellectual property, disclaimers, liability limits, and provisions needed to resolve disputes.

11. Intellectual Property

Emersus and its licensors own the Services, including the software, design, branding, visual assets, and other content we provide, excluding Your Content. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.

If you send us suggestions or feedback, you agree that we may use them without restriction or compensation.

12. Service Availability

We do not promise that the Services will always be available, uninterrupted, secure, or error-free. Features may change, break, be delayed, or be removed, including because of maintenance, third-party outages, safety controls, or product decisions.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or reliability.

14. Limitation of Liability

To the fullest extent permitted by law, Emersus AI and its affiliates, licensors, service providers, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Services will not exceed the greater of (a) the amount you paid us for the Services in the 12 months before the event giving rise to the claim or (b) $100 USD.

15. Indemnity

To the fullest extent permitted by law, you will indemnify and hold harmless Emersus AI and its affiliates, personnel, and service providers from claims, losses, liabilities, damages, and expenses arising out of Your Content, your misuse of the Services, or your violation of these Terms or applicable law.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. By continuing to use the Services after the updated Terms become effective, you agree to the revised Terms.
